1. Acceptance of Terms
By accessing or using the services provided by Hitaji Technologies Ltd ("we," "us," or "our"), including the Hitaji 360 platform and its associated products (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Hitaji 360 is a cloud-based business management platform that provides tools for task management, team collaboration, communication, human resources, accounting, customer relationship management, and other business operations. The Service is offered on a subscription basis with free and paid plans.
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.
3. Account Registration
To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Acceptable Use
You agree not to use the Service to:
- Engage in any unlawful, fraudulent, or harmful activity
- Upload or distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Upload, share, or distribute content that infringes on the intellectual property rights of others
- Resell, sublicense, or redistribute the Service without our prior written consent
We reserve the right to suspend or terminate your access if you violate these terms of acceptable use.
5. Data Ownership
You retain all ownership rights to the data and content you upload, create, or store through the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service.
We do not claim ownership of Your Data and will not use it for any purpose other than delivering the Service to you.
6. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control.
We will provide reasonable advance notice of scheduled maintenance when possible and will endeavor to minimize downtime.
7. Payment Terms
Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of subscription. All fees are non-refundable unless otherwise stated in writing.
We reserve the right to change our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.
8. Intellectual Property
The Service, including its design, features, code, documentation, branding, and all related intellectual property, is owned by Hitaji Technologies Ltd and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.
9. Termination
You may terminate your account at any time by contacting us or using the account settings in the Service. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice.
Upon termination, you will have a 30-day window to export your data. After this period, we may permanently delete your data in accordance with our data retention practices described in our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by law, Hitaji Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
Our total aggregate liability for all claims related to the Service shall not exceed the total amount you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Hitaji Technologies Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Uganda.
